If they want those changes to form part of a particular Transfer, they should discuss and agree them in the DealRoom before the Buyer submits the Offer for that Transfer.

How does an agreed change become part of the Transfer?

It depends on what kind of change or clarification it is.

If it is a general point about the opportunity that may also matter to other Buyers, the Seller can add the agreed clarification to the shared DealRoom FAQ. Once it becomes part of the shared deal baseline, it is carried into the Deal Specification.

If the change or additional service is specific to that Buyer, it should normally be stated as a condition of that Buyer’s Offer.

In either case, if it is intended to form part of that Transfer, it needs to be agreed before the Buyer submits the Offer.

Anything the Buyer and Vendor do not want to make part of the Transfer can instead be arranged separately between them.

Why this matters

Taking over an existing event does not mean the Buyer has to keep every detail exactly as it was originally prepared.

The existing arrangements give the Buyer a strong starting point, while the DealRoom makes it possible to discuss useful changes directly with the Vendor without restarting the whole planning and sales process.

This can work well for everyone:

  • the Buyer can adapt the event to their needs;

  • the Vendor can offer additional services or upgrades if they want to;

  • the Seller and other participants can see what belongs to the proposed Transfer;

  • and important changes can be captured before the Offer is submitted.

What to do next

If you want something additional or different, raise it with the relevant Vendor in the DealRoom before submitting your Offer.

Agree:

  • what is changing or being added;

  • any additional price or terms;

  • and whether it should form part of the Transfer or remain a separate arrangement.

If the agreed point is general and useful to other Buyers, it can be added to the shared DealRoom FAQ and become part of the deal baseline.

If it is specific to your proposal, include it as a condition of your Offer.
