No. The platform helps the Seller, Buyer and Vendors coordinate and document a Transfer, but it does not currently become a party to the underlying agreement for the Vendor’s service.
The relevant client and Vendor remain responsible for the rights, obligations and performance connected with that service.
Why this matters
The platform provides the structure that makes a Transfer easier to understand and coordinate: the DealRoom, shared deal information, Deal Specification and Transfer process.
But the Vendor is still the party actually providing the service, and the Buyer takes on the relevant client-side position only where the Vendor approves the Transfer.
This keeps the roles clear:
the Vendor remains responsible for the service they agree to provide;
the Buyer remains responsible for the obligations they take on;
the Seller transfers the agreed position and prepaid value;
the platform provides the structure that helps the parties reach and document that agreement.
What does the platform do?
The platform helps the participants:
bring the relevant deal information together;
clarify questions in the DealRoom;
create a clear Deal Specification;
coordinate the required approvals;
and document the agreed Transfer.
It does not replace the Vendor or take over the Vendor’s service obligations.
