The Deal Specification is the fixed record of the event arrangements that a Buyer is considering as part of a Transfer.
When a Buyer decides to make an Offer, the platform first presents the full deal baseline as a Deal Reference inside the DealRoom. The Deal Reference brings together the services, Vendors, terms, payments, conditions and approved clarifications that define the opportunity at that moment.
The same fixed information is recorded in the Deal Specification, the PDF version of that baseline. The Buyer can generate it while reviewing the Deal Reference, and once an Offer is submitted it is generated as the formal Annex 1A – Baseline Deal Specification to the Transfer Agreement.
Why this matters
The DealRoom can continue to develop as participants ask questions, clarify details and consider changes.
The Deal Specification for a particular Offer does not change as the DealRoom develops. It preserves exactly which deal baseline that Buyer was reviewing when they made the Offer, so later changes cannot silently alter the baseline behind an existing Offer.
In simple terms:
The Deal Specification is the fixed record of the deal baseline behind your Offer.
Clarifications from the DealRoom
Each Buyer has their own discussion with the Seller and relevant Vendors inside the DealRoom.
When a discussion produces a clarification that is useful beyond that individual conversation, the Seller can turn it into an approved FAQ clarification for the deal. That gives other Buyers a clearer picture without requiring the Seller and Vendors to answer the same question repeatedly.
Approved clarifications that form part of the deal baseline are included in the Deal Reference and therefore carried into the Deal Specification.
What to do next
Before submitting an Offer, review the Deal Specification carefully. In the DealRoom, the same baseline is presented as the Deal Reference, with the Deal Specification available as its PDF form.
